By accessing or using any services provided by Uprealm LLC ("Uprealm," "we," "us," or "our"), including our website, member platform, connected tools, and any related services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
Our member platform is available by invitation only. Access requires approval and completion of our onboarding process, which includes acceptance of a mutual non-disclosure agreement and enrollment in multi-factor authentication. We reserve the right to approve or deny access at our sole discretion.
Uprealm provides a centralized member platform that may include — depending on your access level — financial dashboards, workspace tools, scheduling and calendar integrations, communication management, health tracking, task management, content automation, AI-assisted tools, and other features as they become available.
Features and availability may change as we develop the platform. We will communicate material changes to active members. Access to specific features may vary based on your membership tier or individual arrangement.
All members are subject to a mutual non-disclosure agreement executed during onboarding. Information shared within the platform — including but not limited to proprietary tools, features, methodologies, and communications between you and Uprealm — is confidential and must not be disclosed to third parties without written consent.
Our platform allows you to connect third-party services (financial institutions via Plaid, Google services, communication platforms, health data sources, and others). When you connect a third-party service:
Uprealm is not a financial institution, bank, investment advisor, broker, or tax preparer. Any financial data displayed through our platform is provided for informational and organizational purposes only and should not be construed as financial, investment, or tax advice.
Financial account connections are facilitated by Plaid Technologies, Inc. Plaid accesses your financial data directly from your institution — Uprealm never sees or stores your banking credentials. Your use of Plaid is subject to the Plaid End User Privacy Policy.
Any health-related features within the platform are for personal tracking and organizational purposes only. Uprealm does not provide medical advice, diagnosis, or treatment recommendations. Always consult qualified healthcare professionals for medical decisions.
Certain features within the platform may utilize artificial intelligence. AI-generated content, suggestions, and analysis are provided as tools to assist you — not as definitive advice. You are responsible for reviewing and verifying any AI-assisted output before acting on it.
Your Intellectual Property
Ideas, domain knowledge, brand assets, business data, and content you bring to Uprealm remain yours. We claim no ownership over what you disclose to us or create within your workspace for your own business purposes. During onboarding, you will have the opportunity to formally declare your existing intellectual property — this establishes a clear, timestamped boundary.
Uprealm's Intellectual Property
All platform technology, design, infrastructure, AI systems, discovery frameworks, product architecture methodologies, analytical processes, and proprietary tools are owned by Uprealm LLC and protected by applicable intellectual property laws. Our ability to take complex ideas and synthesize them into packageable, scalable solutions — including the frameworks, processes, and strategic thinking that enable this — is proprietary to Uprealm. You may not copy, reproduce, reverse-engineer, or distribute any part of our platform or its underlying technology without written permission.
Collaborative Work Product
When Uprealm works with you to develop products, strategies, or solutions, the specific ownership, licensing, and usage rights for deliverables are defined in your individual engagement agreement — not in these general Terms. Each collaboration is unique and deserves clear, specific terms.
Independent Development
Both parties acknowledge that they may independently develop ideas, products, or services that are similar to those discussed or developed during the engagement. Nothing in these Terms or any related agreement restricts either party from pursuing opportunities in any field, provided they do not misuse the other party's confidential information. Uprealm maintains an internal registry of its own ideas and initiatives, and the existence of a member engagement does not grant any claim over Uprealm's independent work.
We collect anonymized, aggregated usage data — such as feature adoption patterns, workflow metrics, and interaction trends — to improve our platform and develop new tools. This data is stripped of all personally identifiable information and cannot be traced back to any individual member.
We do not use your personal content, financial data, workspace content, or any confidential information you share with us for training, analytics, or any purpose other than delivering your services. Only anonymized behavioral patterns — how features are used, not what you use them for — inform our development.
Members who engage Uprealm for product development, strategic advisory, or incubation services will enter into a separate engagement agreement that governs the specific terms of that collaboration — including deliverables, timelines, revenue arrangements, IP ownership of work product, and scope boundaries. These engagement agreements supplement but do not replace these Terms of Service.

To the maximum extent permitted by law, Uprealm LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted access, error-free operation, or that the platform will meet all of your requirements.
Either party may terminate this agreement at any time. You may close your account by contacting us. We may suspend or terminate your access if you violate these terms. Upon termination, your data will be handled in accordance with our Privacy Policy.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles County, California.
We reserve the right to modify these Terms at any time. Material changes will be communicated to active members through the platform or via email. Continued use of our services after changes are communicated constitutes acceptance.
